Acceptance

These terms govern your use of liquidenergy.world (the "site"), operated by Liquid Energy Canada Inc. ("Liquid Energy", "we", "us"), of Kitchener, Ontario. By using the site, you agree to these terms. If you do not agree, do not use the site. Our Privacy Policy explains how we handle personal information.

Information only

The site gives general information about Liquid Energy, NanoDC and our plans. Nothing on it is an offer, commitment or guarantee of any kind, or professional, technical, financial, legal or investment advice. Any product, service or business relationship with us will be governed only by a separate written agreement.

Products and plans may change

We are an early-stage company, and our products and specifications are in development. Any specifications, capabilities, figures, timelines or availability on the site may change without notice, and some may never be offered.

Illustrative models and forward-looking statements

The animated model on our homepage, comparing a conventional datacentre build with a fleet of NanoDC units, is illustrative. Its figures are modelled from assumptions, not measured. Actual results may differ materially.

The site also contains forward-looking statements about our plans and goals. They reflect our current views and assumptions, are not guarantees, and involve risks and uncertainties that could cause actual results to differ materially. Do not place undue reliance on them. We do not undertake to update them, except as required by law.

Not an offer of securities

Nothing on the site is an offer to sell, or a solicitation of an offer to buy, any securities in any jurisdiction. Any such offer would be made only through definitive documents and in compliance with applicable securities laws.

Intellectual property

The site and its content, including text, graphics, illustrations, models, designs and code, are owned by Liquid Energy or used under licence. Liquid Energy, NanoDC and their logos are trademarks of Liquid Energy Canada Inc. Some components, such as open-source software and fonts, are used under their own licence terms, listed in our third-party notices.

We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to view the site, and to download or print pages, for your personal use or to evaluate doing business with us. Keep all notices intact. You may not otherwise copy, modify, distribute or republish the site, or use our names or marks, without our written permission. We reserve all other rights.

Third-party trademarks

The site displays the names and logos of Y Combinator; NVIDIA and the NVIDIA Inception Program; and the University of Waterloo and Velocity. These are trademarks of their respective owners. Their display identifies our relationship with those organizations, as stated on the site, and does not imply endorsement or sponsorship beyond that stated relationship.

The site may link to websites run by others. We do not control them, are not responsible for them, and do not endorse them by linking.

Disclaimers

The site and its content are provided "as is" and "as available". To the fullest extent permitted by law, we make no representations or warranties of any kind, express or implied, including of accuracy, completeness, merchantable quality, fitness for a particular purpose or non-infringement. We do not promise that the site will be available, uninterrupted, error-free or free of harmful components. You use the site at your own risk.

Limitation of liability

To the fullest extent permitted by law, Liquid Energy and its directors, officers, employees and agents are not liable for any loss or damage arising from your use of, or reliance on, the site. This includes direct, indirect, incidental, special, consequential and punitive damages, and loss of profits, revenue, data or business, even if we were told such loss was possible. If you are dissatisfied with the site, your only remedy is to stop using it. Nothing in these terms limits liability that cannot be limited by law.

Indemnity

To the extent permitted by law, you will indemnify and hold harmless Liquid Energy and its directors, officers, employees and agents from any claims, losses and costs, including reasonable legal fees, arising from your breach of these terms or misuse of the site.

Governing law and venue

These terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict of laws rules. The courts of Ontario have exclusive jurisdiction over any dispute about these terms or the site. This does not limit any rights you have under mandatory laws where you live.

Changes

We may change, suspend or discontinue the site at any time. We may update these terms by posting a new version here with a new effective date. By continuing to use the site after that date, you accept the updated terms.

Severability

If any part of these terms is invalid or unenforceable, it will be limited or removed only as much as necessary, and the rest stays in effect. Not enforcing a term is not a waiver of our right to enforce it later.
